With over a decade in the City, she has led and executed a wide range of corporate transactions—spanning IPOs, acquisitions and complex reorganisations—across the London Stock Exchange, AIM and AQSE. She has been instrumental in the structuring and launch of innovative businesses within the digital assets and technology sectors. Fungai brings deep expertise in capital markets strategy, governance and investor engagement, and continues to contribute to the growth ambitions of Vaultz Capital, as Non-Executive Director.

Charlie Wood brings more than 20 years of experience in capital markets, corporate finance, and business development, advising listed and private companies across multiple sectors. He is a Partner at Orana Corporate, a London-based advisory firm, and a Director of Terra Nova Resources, a gold investment vehicle focused on advancing high-quality assets. With expertise in natural resources and technology, and a track record of working with growth companies on AIM and ASX, Charlie provides strategic oversight, governance leadership, and global capital markets insight as Non-Executive Chairman of Vaultz Capital.

We will disclose any material changes to our Bitcoin holdings through timely market updates and regulatory disclosures.

Risk Statement

Vaultz Capital Plc will hold a portion of its corporate treasury in Bitcoin, a digital asset commonly referred to as cryptocurrency. While the Board believes this strategy aligns with our long-term vision and is in the best interests of shareholders, we recognise that Bitcoin is classified as a high-risk asset by the UK Financial Conduct Authority (FCA).


Vaultz Capital is not authorised or regulated by the FCA, and Bitcoin itself remains an unregulated asset class within the UK. Accordingly:

  • The value of Bitcoin is highly volatile and may rise or fall significantly over short periods.

  • The Company’s ability to liquidate its Bitcoin holdings may be constrained by market conditions, liquidity, or operational limitations.

  • Investors are not protected under the Financial Services Compensation Scheme (FSCS) or eligible to complain to the Financial Ombudsman Service (FOS) in relation to our Bitcoin exposure.

Despite the risks outlined below, the Board remains confident in the long-term strategic case for Bitcoin and its relevance as a resilient store of value in an increasingly inflationary and uncertain monetary environment. Vaultz Capital’s treasury policy is underpinned by rigorous due diligence, robust governance, and a forward-looking commitment to financial innovation.

An investment in Vaultz Capital Plc is not a direct or indirect investment in Bitcoin. However, due to our treasury strategy, investors should be aware that the Company maintains material exposure to the value of Bitcoin.

We acknowledge the potential risks associated with this exposure, including:

  • Market volatility – Bitcoin’s value can fluctuate sharply and unpredictably.

  • Security risk – Digital assets may be vulnerable to cyberattacks, loss, or theft if not properly secured.

  • Liquidity risk – There may be instances where Bitcoin cannot be sold efficiently at the desired time or price.
