Building Bitcoin Network Infrastructure

Vaultz Capital operates scalable Bitcoin mining operations while maintaining a strategic Bitcoin treasury position.

Operating Strategy

Vaultz operates a Bitcoin mining business, using remote data centres which provide shared processing power. Vaultz has committed to a cloud mining managed service to keep the process simple and cost effective. Deploying this strategy, Vaultz has access to the cryptocurrency mining revolution, for a lower investment, without the contraints linked to hardware.

The key advantages of the Vaultz cloud mining solution is that it enables the company to have access to mining possible from a low-cost base without significant costs of physical hardware and its attendant running costs. This operating model is intended to provide Vaultz with ongoing exposure to Bitcoin block rewards and transaction fees, forming the core of the Company’s commercial activity.

Strategy and Disclosure

At Vaultz Capital, our strategy is driven by a commitment to long-term value creation. We allocate capital efficiently across both our Bitcoin treasury and operating activities, ensuring that every deployment supports our core mission of maximizing Bitcoin-denominated shareholder value.

Our Bitcoin Treasury Strategy balances accumulation and resilience. Transparency and communication form a pillar of our core foundation that supports our mission.

We will disclose any material changes to our Bitcoin holdings through timely market updates and regulatory disclosures.

Risk Statement

Vaultz Capital Plc will hold a portion of its corporate treasury in Bitcoin, a digital asset commonly referred to as cryptocurrency. While the Board believes this strategy aligns with our long-term vision and is in the best interests of shareholders, we recognise that Bitcoin is classified as a high-risk asset by the UK Financial Conduct Authority (FCA).

Vaultz Capital is not authorised or regulated by the FCA, and Bitcoin itself remains an unregulated asset class within the UK. Accordingly:

  • The value of Bitcoin is highly volatile and may rise or fall significantly over short periods.

  • The Company’s ability to liquidate its Bitcoin holdings may be constrained by market conditions, liquidity, or operational limitations.

  • Investors are not protected under the Financial Services Compensation Scheme (FSCS) or eligible to complain to the Financial Ombudsman Service (FOS) in relation to our Bitcoin exposure.

Investor Considerations

Despite the risks outlined below, the Board remains confident in the long-term strategic case for Bitcoin and its relevance as a resilient store of value in an increasingly inflationary and uncertain monetary environment. Vaultz Capital’s treasury policy is underpinned by rigorous due diligence, robust governance, and a forward-looking commitment to financial innovation.

An investment in Vaultz Capital Plc is not a direct or indirect investment in Bitcoin. However, due to our treasury strategy, investors should be aware that the Company maintains material exposure to the value of Bitcoin.

We acknowledge the potential risks associated with this exposure, including:

  • Market volatility – Bitcoin’s value can fluctuate sharply and unpredictably.

  • Security risk – Digital assets may be vulnerable to cyberattacks, loss, or theft if not properly secured.

  • Liquidity risk – There may be instances where Bitcoin cannot be sold efficiently at the desired time or price.

  • Regulatory uncertainty – Evolving legal and regulatory frameworks may impact the Company’s operations or the valuation of its Bitcoin holdings.
